Welcome to Prompt Studio ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our AI workflow management platform and services (collectively, the "Service") operated by Fill Studio Co.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Acceptance of Terms

By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You must be at least 18 years old to use our Service.

3. Your Account & Eligibility

You must be at least 13 years old (or older, depending on your jurisdiction) to use Prompt Studio. By using the Service, you represent and warrant that you have the authority to enter into these Terms and are not barred from using the Service under any applicable law.

You're responsible for all activity under your account. Keep your login credentials confidential. We may suspend or terminate your account if there's suspicion of misuse or violation of these Terms.

4. Your Content

You retain all ownership rights to the content you upload or create through the Service, including prompts, files, and outputs ("User Content").

By uploading User Content, you grant us a worldwide, non-exclusive license to host, store, process, and display that content solely to operate, improve, and provide the Service. You are responsible for ensuring that your content does not infringe any third-party rights or violate laws.

We may remove or disable access to content that we believe violates these Terms or applicable law, at our sole discretion.

5. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Interfere with or disrupt the Service or its infrastructure
• Upload content that is harmful, abusive, infringing, or deceptive
• Use automated tools to extract data ("scraping") without permission

We reserve the right to investigate and take appropriate legal action, including account termination.

6. Subscription & Billing

Access to certain features may require a paid subscription. By subscribing, you authorize Prompt Studio (or our third-party payment processor) to charge your payment method.

Fees are billed in advance and are non-refundable, unless required by law. We may change pricing at any time, with notice. Continued use of the Service after a change implies acceptance.

7. Service Availability & Modifications

We strive to keep the Service available, but do not guarantee uptime or uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time, without liability.

8. Intellectual Property

The Service, including all software, design, and branding, is owned by Prompt Studio or its licensors and protected by intellectual property laws. You may not reverse engineer, copy, or use the Service beyond the rights granted in these Terms.

9. Third-Party Services

The Service may include integrations with third-party tools (e.g., OpenAI, Stability, or payment processors). We are not responsible for the terms, content, or performance of these third-party services.

10. Termination

You may cancel your account at any time. We may suspend or terminate your access to the Service with or without notice if you violate these Terms or pose a legal or security risk.

After termination, your content may be deleted and access revoked. We may retain certain data as required by law or for legitimate business purposes.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. We disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Service. Our total liability will not exceed the amount you paid us in the past 6 months.

12. Governing Law

These Terms are governed by the laws of the Netherlands. All disputes will be handled exclusively in the courts of Amsterdam, unless otherwise required by law.

13. Changes

We may update these Terms occasionally. If we make material changes, we'll notify you by email or in-app notice. Continued use after the update means you accept the revised Terms.
